1. Agreement and licensor
This End User License Agreement (“EULA”) governs your download, installation, and use of the yoyolingo desktop application (the “Application”). The Application is licensed, not sold, by HappyCalf Media LLC, doing business as yoyolingo, 30 N Gould St Ste N, Sheridan, WY 82801, United States (“we,” “us,” or “Licensor”). By downloading, installing, or using the Application, you agree to this EULA, our Terms of Service, Privacy Policy, and, where applicable, Refund Policy. If there is a conflict, the Terms of Service govern purchases, subscriptions, and account services.
2. Eligibility
The Application and related account services are intended only for users who are at least 18 years old. By using the Application, you represent that you are at least 18 years old. Persons under 18 may not use or register for the Application or related Services.
3. The Application
yoyolingo is a local-first desktop language-learning application for studying lawfully obtained media. It provides playback, subtitles, vocabulary tools, and optional AI-powered translation and dictionary features. Machine-generated translations, definitions, pronunciations, and other outputs may be incomplete or inaccurate and are learning aids, not professional advice.
4. License grant
Subject to this EULA, Licensor grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use one copy of the Application on desktop devices that you own or control, solely for your personal, non-commercial language-learning use. This license also governs Application updates that replace, repair, or supplement an earlier version, unless we provide a separate license for that update.
5. License restrictions
You may not share or make the Application available to third parties; sell, rent, lend, lease, sublicense, or redistribute it; or reverse engineer, decompile, disassemble, modify, adapt, translate, create derivative works from, or attempt to derive its source code, except to the extent a restriction is prohibited by applicable law or we give prior written permission. You may make a reasonable backup copy only for your own use and must retain all proprietary notices.
6. Local media, content rights, and optional AI
The Application is designed to process your media files, subtitles, vocabulary, and learning records locally on your device unless a feature clearly states otherwise. You are solely responsible for ensuring that you have all rights, permissions, and legal authority necessary to import, process, translate, display, or use any media, subtitles, or other content with the Application. Do not use the Application with content that infringes intellectual-property rights, privacy rights, or other applicable laws.
Optional AI translation and dictionary features may process the text that you choose to submit, together with language and task settings, to provide the requested result. Do not submit personal information, confidential information, or content that you are not authorized to process through AI features.
7. Promotional credits and referral codes
Eligible new users may claim a one-time introductory allowance of 10 hours of AI translation use, valid for 7 days from activation. During registration, a user may optionally enter a referral code. When a valid referral code is redeemed, the invited user and the referring user may each receive 5 hours of promotional AI translation use, valid for 7 days. A referral code may be redeemed only once, and each eligible referring user may be issued no more than two referral codes. Promotional credits are non-transferable, have no cash value, may not be sold or exchanged, and do not automatically renew. We may withhold, adjust, or revoke promotional credits where reasonably necessary to prevent fraud, abuse, error, or violation of this EULA or our Terms of Service.
8. Accounts, purchases, and subscriptions
Account, purchase, payment, subscription, cancellation, and refund terms are governed by our Terms of Service and Refund Policy. Payments are processed through Paddle, which may act as merchant of record for applicable transactions. Only a membership plan identified at checkout as a Monthly plan automatically renews monthly until cancelled. Fixed-duration membership plans and translation booster purchases do not automatically renew unless checkout expressly states otherwise.
9. Privacy and data
Our processing of personal information is described in our Privacy Policy. We do not obtain access to your local media or learning records merely because you install or use the Application. The Application may use limited account, security, diagnostic, and service data as described in the Privacy Policy to provide and protect online features.
10. Technical requirements, maintenance, and support
You are responsible for ensuring that your device meets the then-current system requirements and uses a compatible supported desktop operating system. Internet access is required for account, purchase, and optional online or AI features. We may update supported operating systems or technical requirements as reasonably necessary for security, compatibility, legal, or product reasons. We may provide updates, maintenance, and support, but do not promise that every feature will remain available on every device or operating-system version. For support, contact support@yoyolingo.app.
11. Third-party and open-source components
The Application may include third-party and open-source components licensed under their own applicable license terms. Nothing in this EULA limits rights or obligations imposed by those licenses. Applicable third-party notices and license information are provided with the relevant Application release or in the accompanying notices.
12. Intellectual property
We and our licensors retain all rights, title, and interest in the Application, its software, design, branding, documentation, and related materials, except for rights expressly granted to you in this EULA. You retain any rights that you hold in media and other content you use with the Application.
13. Warranty disclaimer and liability
To the maximum extent permitted by applicable law, the Application is provided “as is” and “as available.” We do not warrant that it will be uninterrupted, error-free, compatible with every device, or that AI output will be accurate. Nothing in this EULA excludes or limits a warranty, remedy, liability, or consumer right that cannot lawfully be excluded or limited. The disclaimers and limitations of liability in our Terms of Service also apply to the maximum extent permitted by law.
14. Termination
This EULA remains effective until terminated. You may terminate it by uninstalling the Application and destroying all copies under your control. We may suspend or terminate your license if you materially breach this EULA or our Terms of Service. Upon termination, you must stop using and uninstall the Application. Provisions that by their nature should survive termination will survive.
15. Changes and governing law
We may update this EULA as described in our Terms of Service. This EULA is governed by the laws of Wyoming, United States, without regard to conflict-of-law principles, except where mandatory consumer law provides otherwise. The dispute-resolution provisions of our Terms of Service apply.
